How to Close a Foreign-Owned U.S. LLC

Closing an LLC involves separate federal and state steps. Review any fact-specific final federal filing requirements, complete the applicable state dissolution process, address balances or notices, and determine whether an IRS business-account closure request is appropriate.

Review the final federal filing

Foreign ownership alone does not establish a Form 5472 filing requirement. The final-year analysis depends on entity classification, ownership, related parties, reportable transactions, the applicable tax year, and current IRS instructions. A liquidating distribution or another owner-related transfer may be reportable.

Complete the state process separately

State dissolution does not by itself complete federal filing or IRS account procedures. Follow the formation state's dissolution and final-report rules and retain confirmation with the entity records.

Address the IRS business account

An EIN remains permanently assigned. After required returns and balances are addressed, review whether to ask the IRS to close the associated business account under current procedures.
